CargoPool — Analysis service terms and terms of sale and delivery
Version dated September 29, 2026

KEY POINTS
• You choose an analysis service and accept its price before submitting your link. This step does not authorize the purchase of the product.
• At current rates, the basic analysis costs $50 and Quality assurance + 1 alternative costs $100. With a token covering $50, the remaining payment is $0 or $50 respectively. The exact applicable price is displayed before you accept.
• A proposed alternative includes a detailed price. You can accept or decline it. Choosing an alternative does not trigger a purchase or payment.
• Purchasing requires separate acceptance of the quote and terms of sale. Payment reserves space; the supplier purchase follows the agreed shipment grouping conditions.
• You can request cancellation through your client account or by contacting us. Refundable amounts depend on the circumstances and your rights under the law.

1. CargoPool’s role
CargoPool Inc. sells the goods described in the accepted quote to the customer. CargoPool purchases in its own name from its suppliers, takes title to the goods and acts as importer under its import account. The customer purchases from CargoPool; CargoPool is not the customer's purchasing agent for this sale.
CargoPool bears the risk of loss or damage until the goods are handed over to the customer at the agreed location. Title passes at that handover after full payment, subject to mandatory applicable law.
Creating an account, submitting a link or selecting an alternative does not place an order. An order requires separate acceptance of the quote and these terms of sale. Previous orders remain governed by the terms actually accepted.

2. Analysis services
Analyze my item: review of the link, supplier information and feasibility of importation, followed by preparation of an estimated import price.
Quality assurance + 1 alternative: an in-depth review of available supplier information and product specifications. If the product raises concerns, a search for an alternative. The package covers one defined need and one round of questions.
“Quality assurance” refers to this review work. It is not an insurance policy, a guarantee that the product will be free of defects, an approval or a technical certification. The analysis relies on available documents and communications with the supplier. Physical inspection and testing are not included unless separately agreed. These limitations do not reduce CargoPool’s obligations or applicable legal warranties.
CargoPool may refuse a product whose admissibility, compliance or transport cannot reasonably be established. An alternative remains subject to the client’s choice; it never automatically replaces the original product.

3. Analysis fees, tokens and credits
Fees and the remaining payment are displayed before the link is submitted. At current rates, basic analysis costs $50. The quality package includes this analysis portion plus $50 for additional assistance, for a total of $100. The amount displayed and accepted for the request is the amount that applies.
A token covers the analysis portion at the configured basic rate. It applies to both packages. At the rates above, a token reduces basic analysis to $0 and the quality package to $50. It does not cover the additional assistance fee. “Token applied” therefore does not mean that the entire quality package is free.
When a payment is still required, the token is reserved during payment and redeemed when payment is confirmed. Confirmed cancellation or expiry of the payment session releases the reservation. For a fully covered analysis, the token is redeemed upon submission. The same token cannot be used for two requests. It has no cash value, subject to the law.
A free first analysis, when offered, applies only to the basic package. It is separate from a token.
The analysis portion actually paid may be credited toward the order under the displayed conditions. Additional assistance fees are not credited. A portion covered by a token or offered free does not create a second monetary credit. Credits granted appear on the invoice and are accounted for in any refund, without double deductions.

4. Quote, price and purchase authorization
Before ordering, the client reviews and accepts the specifications, quantities, services, amount and conditions of the quote. Amounts are in Canadian dollars unless stated otherwise. The breakdown distinguishes merchandise, transport, fees, duties, taxes and credits.
A price presented as firm or all-inclusive is honoured for the agreed products and services. No unauthorized product substitution or extra charge is imposed. Any change requiring the client’s consent must be accepted before it is carried out.
The payment methods offered must comply with the rules applicable to the transaction. Payment reserves space under the communicated shipment grouping conditions. The supplier purchase takes place after client authorization and fulfilment of the agreed conditions.

The quoted price is CargoPool's selling price and includes its margin; it is not reimbursement of supplier costs at cost. Supplier costs and margins are internal information, subject to legally required disclosure.
For a taxable sale delivered in Quebec, GST and QST apply to the selling price including goods, transport forming part of the sale, passed-on duties and fees. Import taxes paid by CargoPool are handled in its own accounting and are not added separately as customer disbursements. An eligible analysis credit includes its corresponding tax adjustment, without double credit. Other destinations or goods subject to special tax treatment require an adapted quote before payment.

5. Shipment grouping, delivery and tracking
Shared transport combines several shipments. Before the client commits, the file must specify the grouping period, when it begins, departure conditions, the agreed delivery date or timeframe and the applicable delivery or pickup arrangements.
CargoPool informs the client of significant delays and available options. An estimated date does not remove contractual obligations or remedies provided by law. Grouping does not allow an agreed deadline to be postponed indefinitely.

6. Customs and compliance
CargoPool is responsible for its import declarations, applicable duties and taxes, and its compliance obligations as importer and seller. The customer provides accurate information about the intended use. Special requirements are clarified before ordering.
An estimated HS code or duty rate must be confirmed. Customs review does not authorize a surcharge contrary to the agreed price or applicable law. False declarations of value, origin or product type are prohibited.

7. Cancellation and refunds
The client may request cancellation through the client account or by contacting CargoPool and providing the file reference. Contractual withdrawal options related to shipment grouping are specified in the file and are in addition to rights provided by law.
The consequences depend on services already performed and authorized commitments. CargoPool provides an accounting of amounts received, fees, expenses and the refund. Only amounts lawfully payable may be retained.
An analysis credit already granted is taken into account without a double deduction. When a full refund is required by law, no clause permits a contrary deduction.
The confirmation specifies the refund amount and method. Payment provider processing times do not extend statutory deadlines applicable to CargoPool.

8. Receipt, damage, insurance and warranties
The client examines the goods upon receipt as far as reasonably possible and promptly reports problems, with useful photos and documents. A defect not noticed immediately does not remove rights provided by law.
Any transport insurance must be specified in the quote, including coverage, limits, deductibles and exclusions. No coverage should be presumed. The “Quality assurance” analysis package does not replace transport insurance.
Suppliers are separate third parties. Their known warranties and return conditions are communicated to the client. These do not replace legal warranties. CargoPool remains responsible for its obligations as seller and importer, including applicable legal warranties. Customers may bring claims directly to CargoPool and are not required to seek remedies solely from the overseas supplier.

9. Liability and remedies
No clause excludes liability that cannot lawfully be excluded or removes a mandatory consumer right. The involvement of a supplier, carrier or other third party does not automatically release CargoPool from its obligations.
Québec law and applicable federal law govern the contract, subject to mandatory protections applicable to the client. No mandatory arbitration or waiver of class action rights is imposed.

10. Account, personal information and emails
The client provides accurate contact information, protects the account and must be authorized to represent anyone else on whose behalf they act. Information needed to perform the service is shared with the relevant parties in accordance with applicable rules and the website’s privacy policy.
Optional notifications can be disabled and re-enabled in My account. Security messages and necessary copies of accepted terms and commitments continue to be sent. Accepting these terms does not constitute consent to promotional messages.

11. Copies of the terms and changes
The accepted version, acceptance statement and associated summary are stored with the date and client account. A copy is sent by email so the client can keep and print it. It also remains available in the client account. For a distance contract covered by law, a copy of the contract must be sent within the applicable legal deadline, no later than 15 days after it is entered into.
A new version of the terms does not retroactively change an order without a legal basis or valid consent. For questions or complaints, the client may use CargoPool’s contact information displayed on the website and include the file reference.
